GENERAL COUNSEL:  International Infrastructure Company, Ltd.’s General Counsel shall have the sole authority to bind the Company in third-party transactions, subject to internal controls regarding the nature, scope and monetary level of each transaction. For avoidance of doubt, unless authorized by the Company’s General Counsel in writing, no officer, agent, or employee shall have any power or authority to bind the Company to any contract or engagement, or to pledge its assets, encumber its credit or render it liable for any purpose or for any amount.
